1. Acceptance of Terms
By accessing or using Prime Local Presence ("we," "us," or "our") at primelocalpresence.com (the "Site"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services. These Terms apply to all visitors, users, and subscribers.
2. Description of Services
Prime Local Presence provides an AI-powered social media management and content generation service for local businesses and agencies. Our platform generates platform-optimized social media posts (Facebook, Instagram, Google Business Profile, Twitter/X), schedules content, and (with your approval) publishes posts to connected social media accounts.
3. Account & Eligibility
To use our Services, you must create an account and maintain accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. Agencies using the platform to manage client accounts represent that they have obtained necessary permissions from those clients to act on their behalf.

All prices are in USD and subject to change with 30 days' notice. Payments are processed by Stripe and billed monthly in advance. All fees are non-refundable except as described in our Refund Policy.
You authorize us to charge your payment method on a recurring monthly basis. If payment fails, we may suspend your account until payment is received. You are responsible for all applicable taxes.
5. Acceptable Use
You agree not to use our Services to:
- Generate or publish content that is unlawful, defamatory, harassing, obscene, or that infringes on the rights of any third party
- Represent to your own clients or the public that the AI-generated content was created by a human without disclosure
- Use the platform to publish spam, automated bulk content, or deceptive marketing
- Attempt to access, interfere with, or reverse-engineer any part of our infrastructure
- Violate any third-party platform's terms of service when publishing content through our integrations
- Upload content containing personal data of individuals without their consent
Violations may result in immediate suspension or termination of your account without refund.
6. Content & Intellectual Property
You retain ownership of the business information and brand assets you upload to the platform ("Your Content"). By using our Services, you grant us a limited, non-exclusive license to use, copy, and process Your Content solely to deliver the Services.
The AI-generated content produced by Prime Local Presence ("Service Output") is provided to you for your use in your sole discretion. We do not claim ownership of Service Output, but you are responsible for reviewing and approving all content before it is published to any third-party platform.
We retain ownership of all pre-existing intellectual property in the platform, including our proprietary models, interfaces, and branding.
8. Refund & Cancellation
We offer a 14-day money-back guarantee on all new subscriptions. If you are not satisfied with the service within the first 14 days, contact us for a full refund.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — no partial-month refunds are provided. Scheduled content that has already been queued may continue to publish during the cancellation period.

9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that AI-generated content will achieve specific business results, reach, engagement, or revenue outcomes. Content performance depends on third-party algorithms, market conditions, and content quality — factors outside our control.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME LOCAL PRESENCE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES — REGARDLESS OF THE THEORY OF LIABILITY — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification
You agree to indemnify, defend, and hold harmless Prime Local Presence and its affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination
We may terminate or suspend your account immediately, without prior notice, for any conduct that violates these Terms or is harmful to us, other users, or third parties. Upon termination, your right to use the Services ceases immediately. Data retention after termination is governed by our Privacy Policy.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Harris County, Texas.
